Agreement Overview

Content Ownership

You retain full ownership of original content you create and upload to the Platform. By uploading content, you grant Learnly AI a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, and display your content solely for the purposes of operating, developing, and improving the Platform. This license terminates when you delete your content from the Platform, except for:

• copies reasonably necessary for backup purposes
• copies made by other users as permitted
• copies required for legal compliance

Your Representations and Warranties

When uploading content, you represent and warrant that:

• You are the creator and owner of the content, OR you have obtained all necessary rights, licenses, and permissions to upload and share the content
• The content does not infringe any third-party intellectual property rights, including copyrights, trademarks, or trade secrets
• The content does not violate any applicable laws, regulations, or third-party rights
• You have obtained necessary permissions from any individuals identifiable in the content
• The content is accurate and not misleading

Prohibited Content

Copyrighted materials without proper authorization, including textbooks, published academic papers, or proprietary course materials

• Exam questions from current or recent examinations, or any content that would facilitate academic dishonesty
• Instructor-only materials, teacher notes, or answer keys not intended for student distribution
• Content from paid courses, tutorials, or subscription services
• Materials that violate your educational institution's academic integrity policies
• Content containing personal information of others without consent
• Malicious software, spam, or harmful content
• Any content that is illegal, defamatory, obscene, or otherwise objectionable

Platform's Role as Service Provider

Content Removal and Moderation

Remove or disable access to any content that violates this Agreement

• Suspend or terminate accounts of users who repeatedly violate this Agreement
• Cooperate with law enforcement when required by law
• Take any action we deem necessary to protect the Platform and its users. Removal of content does not constitute an admission or determination regarding the legality or appropriateness of the content

Indemnification

You agree to indemnify, defend, and hold harmless Learnly AI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from:

• Your uploaded content
• Your violation of this Agreement
• Your violation of any third-party rights
• Your use of the Platform. This indemnification obligation survives termination of your account
